TERMS AND CONDITIONS OF TRADING OF
CLIFTON TRADERS (UK) LTD. (“THE SELLER”)

Unless otherwise specifically agreed in writing between the Seller and the Buyer, the following terms shall apply.

  1. The goods which are the subject of this contract shall be at the buyer’s risk from the time of appropriation and at all times thereafter.
    • (a) Ownership in the said goods shall remain with the Seller until the Buyer has made payment therefore in full.
    • (b) Until such payment in full the Buyer shall be under a duty save in circumstances provided in (c) below, to keep the said goods separate and apart from all other goods and so kept as to enable them to be identified as the Sellers goods.
    • (c) In the event of a sale of the said goods or any part thereof prior to payment in full, such sale shall be a sale by the Buyer as agent for the Seller and the Buyer shall hold the proceeds of the sale separate from its own monies and shall account to the Seller therefore.
    • (d) payment for the said goods shall be made by the Buyer in accordance with the provisions of the TERMS OF THE PAYMENT clause hereunder or immediately upon the commencement of any act or proceeding in which the Buyer’s solvency involved, whichever be the earlier. If such payment is overdue in whole or in part or in the event of such act or proceeding of the Seller may, without prejudice to any of its other rights, recover or resell the goods any may enter upon the Buyers premises for that purpose.
    • (e) The Buyer shall stand in a fiduciary relationship with the Seller in relation to be goods, the subject of this contact and in respect of all its dealings with them until payment as aforesaid.
    • (f) The provisions of this clause are without prejudice to the Seller’s right to sure for the price when due.
  3. Claims for non-delivery must be made n writing 7 days of the date of invoice, No Claims for shortages or damage can be entertained unless notified to the Seller and carriers in writing withing 3 working days of receipt of the said goods.
  4. For the avoidance of doubt, it is hereby agreed that these “TERMS OF TRADING do not constitute a contract om a sale or return basis.
  5. All good will b invoiced at the price ruling at the dispatch date.
  6. Technical date, dimensions, weight etc. where stated, sere only as a guide, and do not from part of the contract. They are subject to change by the Seller without notice.
  7. The Seller shall not be liable under this contact or otherwise where defects, loss or damage arise due to improper use by the Buyer or ordinary wear and tear.
  8. The Seller shall not be liable to the Buyer for any consequential loss or damages howsoever arising and whether in contact or not.
  9. Acceptance of the goods by the buyer shall be in accordance with above terms and conditions.

TERMS OF PAYMENT

Unless otherwise specifically agreed in writing between the Seller and the Buyer, the following terms shall apply:
Payment must be made within 30 days of invoice date,
If payment is not made within 30 days of date of invoice interest shall be paid by the Buyer at the of 2% per month or part thereof.

Please Note

We supply all our goods on a firm sale basis. On approved customer accounts we are able to give 60 days credit.  The minimum carriage paid order value is £350.00 plus VAT. All our clocks are guaranteed for 1 / 2 years from the date of customer purchase. All goods remain our property under trust until they have been paid for, at which time the title to the goods passes to the customer. This does not affect product guarantee.
